Chatsystem ("chatsystem," "our," "we," or "us") provides messaging, Internet calling, and other services to users globally. Please read our Terms of Service so you understand our terms of use of ChatSystem. You agree to our Terms of Service ("Terms") by installing, accessing, or using our apps, services, features, Application, or website (together, "Services").

This End User License Agreement and Terms of Service (these " TERMS OF SERVICE") are legal between you, an individual user ("you"), and the CHAT SYSTEM governing your use of the Service. BY ACCESSING OR USING ALL OR ANY PORTION OF THE APPLICATION, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THE TERMS OF THESE TERMS OF SERVICES, YOU MAY NOT USE THE SERVICE.

Your utilization of the Service is dependent upon these terms, our Community Guidelines, and the Policy, Safety, and Copyright Policies which may be invigorated occasionally. On behalf of any company or person with a legitimate claim to the account names, we reserve the right to reclaim those names.

Preferences in communication.

You agree that we may send you electronic communications (such as messages, emails, and phone calls via Chat System or otherwise) from us or our third-party providers, including (a) notices about your account, password changes, payment authorizations, and other transactional information; (b) notices about updates to our Business Terms; and (c) information about products, services, offers, and other information, as part of your relationship with us. You authorize Chat System and third-party providers to use your contact information to send you electronic communications (such You can choose not to receive future messages from Chat System by writing to the company as instructed in the Notices section below, or by selecting the "unsubscribe" option in any message that you get.

Hardware and software. To utilize our Business Services, you must provide specific hardware, software, and data connections that we do not typically provide. You consent to downloading and installing updates to our Business Services either manually or automatically.

Taxes and fees. All carrier data plans, Internet costs, and additional costs and taxes related to your usage of our Business Services are your responsibility.

You are solely responsible for ensuring that your use of our Business Services complies with all applicable legal and regulatory requirements; otherwise, you are not permitted to use our Business Services. Our Business Services are not meant for use inside the same organization. We do not represent or warrant that our business services satisfy the requirements of organizations subject to laws and regulations requiring greater confidentiality of personal data, such as those in the healthcare, financial, or legal services sectors. This End-User License Agreement ("EULA") is a legal agreement between you and Chatsystem

This EULA agreement governs your acquisition and use of our Chatsystem Application ("Application") directly from Chatsystem or indirectly through a Chatsystem authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the Chatsystem Application. It provides a license to use the Chatsystem Application and contains warranty information and liability disclaimers.

If you register for a free trial of the Chatsystem Application, this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the Chatsystem Application, you are confirming your acceptance of the Application and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Application, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Application supplied by Chatsystem herewith regardless of whether other Application is referred to or described herein. The terms also apply to any Chatsystem updates, supplements, Internet-based services, and support services for the Application, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Chatsystem hereby grants you a personal, non-transferable, non-exclusive license to use the Chatsystem Application on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the Chatsystem Application (for example a PC, laptop, mobile, or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Chatsystem Application.

You are not permitted to:

Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Application nor permit the whole or any part of the Application to be combined with or become incorporated in any other Application, nor decompile, disassemble or reverse engineer the Application or attempt to do any such things

• Reproduce, copy, distribute, resell, or otherwise use the Application for any commercial purpose
• Allow any third party to use the Application on behalf of or for the benefit of any third party
• Use the Application in any way which breaches any applicable local, national, or international law.
• Use the Application for any purpose that Chatsystem considers is a breach of this EULA agreement
• If we found any objectionable content or abusive users we will remove it immediately within 24 hours.

Intellectual Property and Ownership

Chatsystem shall at all times retain ownership of the Application as originally downloaded by you and all subsequent downloads of the Application by you. The Application (and the copyright, and other intellectual property rights of whatever nature in the Application, including any modifications made thereto) are and shall remain the property of Chatsystem.

Chatsystem reserves the right to grant licenses to use the Application to third parties.

Termination

This EULA agreement is effective from the date you first use the Application and shall continue until terminated. You may terminate it at any time upon written notice to Chatsystem.

It will also terminate immediately if you fail to comply with any terms of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Application. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of government.

Registration

Users must register for our services using accurate data. For creating an account, you need to provide your current mobile phone number, and, if you change it, update this mobile phone number. Users should agree to receive text messages and phone calls with codes to register for our services.

Making changes to and discontinuing our business services

If you are based in India and fall under the purview of our obligations under the Platform Regulation, we will provide you with 30 days prior notice (unless a legal or regulatory requirement requires us to do so sooner or you have repeatedly violated your obligations under these Terms) and the relevant reasons for termination (unless we are legally prohibited from doing so or you have repeatedly violated your obligations under these Terms). In the event that we are successful in resolving the matter in your favor and reactivating your account, we will reinstate our Business Services to you within a reasonable time.

After termination, we will delete your account profile from Chat System and keep any data we have obtained about you or your use of the Business Services (as described in this agreement's section on Our Data Practises) that is connected to your account for up to 90 days. The backup storage that we employ to restore lost data in the case of a disaster, Application malfunction, or other data loss event may also keep copies of your information after 90 days for a brief period of time.

Using the Service doesn't give you an obligation regarding rights to any aspect of the Service, including customer names or some other Content posted by others.

Legal Obligation

Our business services are not meant to be used or distributed in any nation where doing so would be against the law there. To the extent permitted by relevant legislation, we reserve the right to limit our Business Services in any jurisdiction at any time. The Company will abide by all applicable export control and trade sanctions laws, both domestic and foreign (collectively, "Export Laws"). Company will not, directly or indirectly, export, re-export, provide, or otherwise transfer our business services to:

(a) any person, entity, or nation prohibited by export laws;

(b) anyone on the Indian or non-Indian government's list of restricted parties; or anyone owned or controlled by any person on that list.

(c) without the necessary government authorizations for any use prohibited by export laws, such as the development of nuclear, chemical, or biological weapons or missile technology. Our business services won't be used or downloaded by the company: For the benefit of or on behalf of a restricted country or anyone listed on any Indian or non-Indian restricted parties list, or (iii) if it is currently listed, or owned or controlled by anyone listed, on any Indian or non-Indian. restricted parties list; or (iv) for any purpose prohibited by Export Laws.
